- Upon full payment of all agreed fees, the client receives ownership or the agreed usage rights to the custom deliverables developed specifically for the project, as defined in the contract.
- Third-party software, libraries, APIs, fonts, stock assets, or licensed components remain subject to their respective license terms.
9. Open-Source Software
Our solutions may include open-source software.
Such components remain governed by their respective licenses.
Clients are responsible for complying with applicable open-source license requirements where relevant.
10. Confidentiality
Both parties agree to keep confidential information private.
Confidential information includes, but is not limited to:
- Business strategies
- Source code
- Technical documentation
- Customer information
- Financial information
- Proprietary business processes
This obligation survives the completion or termination of the project unless otherwise required by law.
11. Non-Disclosure Agreements (NDA)
Upon request, MashLabs is willing to enter into a separate Non-Disclosure Agreement before discussing confidential project information.
Where an NDA exists, its terms take precedence over this section in relation to confidential information covered by the NDA.
12. Third-Party Services
Projects may involve third-party products or services such as:

MashLabs is not responsible for outages, policy changes, pricing changes, or service interruptions caused by third-party providers.

14. Limitation of Liability

- Our total liability arising out of or related to a project shall not exceed the total fees paid by the client for the specific services giving rise to the claim, unless otherwise required by law.
Nothing in these Terms excludes liability that cannot legally be excluded.
15. Maintenance and Support
Maintenance services are provided only when included in a maintenance agreement or support plan.
Support may include:
- Bug fixes
- Security updates
- Performance optimization
- Monitoring
- Infrastructure management
- Feature enhancements
Response times and service levels are governed by the applicable support agreement.
16. Project Delays
Project timelines depend on timely cooperation from both parties.
MashLabs is not responsible for delays caused by:
- Late client feedback
- Incomplete requirements
- Delayed approvals
- Third-party service providers
- Force majeure events
Timelines may be adjusted accordingly.
17. Acceptable Use
Clients agree not to use our services for unlawful or harmful purposes, including:
- Distributing malware
- Unauthorized access to systems
- Fraudulent activities
- Intellectual property infringement
- Spam or abusive communications
- Activities that violate applicable laws or regulations
We reserve the right to suspend or terminate services where misuse is identified.
18. Termination
Either party may terminate a project in accordance with the applicable agreement.
Upon termination:
- Payment remains due for work completed up to the termination date.
- Each party will return or securely dispose of confidential information where appropriate.
- Any continuing rights or obligations intended to survive termination will remain in effect.
19. Force Majeure
Neither party shall be liable for delays or failures caused by events beyond reasonable control, including natural disasters, government actions, internet outages, labor disputes, pandemics, cyberattacks, or failures of third-party infrastructure.
Affected obligations will be suspended for the duration of the force majeure event.
